Cairncross & Hempelmann, P.S. Announces New Principals

Seattle, Washington – Cairncross & Hempelmann proudly announces that Shaun Gill, Shannon Rhodes and Melinda Riddle have been named principals of the firm, effective January 2007. Mr. Gill is a member of the firm’s Real Estate Practice group. He advises both individuals and companies on a variety of real estate related matters, including purchase and sale, leasing, financing, construction and development, as well as historic rehabilitation and condominium construction and conversion. He also specializes in tax credit financings, including historic tax credits, low income tax credits, redevelopment tax credits, new market tax credits, 1031 exchanges and 1031 tenant-in-common syndications. Mr. Gill also has substantial experience assisting clients in developing, structuring and implementing such financings, as well as facilitating state and local bond financing on behalf of issuers.
Ms. Rhodes is a member of the firm’s Intellectual Property & Technology Transactions as well as the Corporate Finance & Business Transactions groups. As part of the Tech Transactions practice, she advises individuals and corporations on a variety of technology-specific issues, including technology development and licensing agreements, resale and distribution agreements, affiliate agreements and intellectual property protection, and intellectual property/content transactions. On the corporate side, Ms. Rhodes advises entrepreneurs and companies with respect to business matters, including entity formation, ownership, compensation benefits, employment and consulting agreements and diverse commercial contracts. Her corporate practice also includes advising on a variety of corporate finance transactions, including mergers and acquisitions, venture capital and angel financings and advising both public and private clients with respect to securities law compliance.
As a member of the firm’s Commercial Litigation, Bankruptcy and Employment Law Groups, Ms. Riddle’s practice includes working with clients on risk management focusing on limiting the potential for liability, advice regarding settlement and mediation of existing disputes, motions practice in state and federal courts and trial experience -- in both courtroom settings and commercial arbitrations. In addition, she provides counsel on bankruptcy-related matters, including insolvency and workouts. Ms. Riddle also provides counsel to businesses on a range of personnel issues, and represents them in administrative proceedings.
